Agreement for Use of Artwork in Cozy Coloring AppThis Agreement ("Agreement") is made and entered into as of the date entered in the form below(the "Effective Date") by and between Mulberry Tree Games, LLC ("Company"),  and [Artist's Name] ("Artist"). Please check the boxes to signify that you have read and agree to each section of the contract.

1.1 The Artist grants the Company a non-exclusive, worldwide, perpetual license to use the coloring pages ("Artwork") provided by the Artist in the Company’s Cozy Coloring App ("App"), which will be available on iOS for iPhone and iPad.

1.2 The Company has the right to modify the Artwork as needed to better fit the App, including but not limited to adjustments in line thickness, resolution, and dimensions. The Company will not alter the Artwork unless necessary to conform to the apps specifications. 

1.3 The Artist retains full copyright ownership of the Artwork and is free to use, sell, or license the Artwork to others.

1.4 The Artwork provided by the Artist will be available through the App and will list the Artist's name. The Artist will provide their name and a short bio.

1.5 Users of the App are able to save images for personal use. Images will be watermarked with the Cozy Coloring App icon and the Artist's name. Users may save images for personal use only. The Company is not responsible for any actions users may take with the saved images, including but not limited to attempts to resell or redistribute the images. The Artist agrees that the Company is not liable for such user actions.

1.6 The Artist grants the Company the rights to use screenshots featuring the Artwork to promote the App

2.1 The Artist agrees to provide the Company with high-quality PNG files of the Artwork suitable for use in the App. The artist will list the coloring pages that will be delivered in the form below. The Artist will email the Artwork to the Company at mulberrytreegames@gmail.com upon contract completion.

3.1 The Company agrees to pay the Artist the amount agreed upon for the Artwork. Artist will list the agreed upon price on the form below. Payment will be made through venmo, or an invoice link from the Artist. Payment will be made upon Contract completion.

4.1 The Artist represents and warrants that they are the sole creator and copyright owner of the Artwork and that the Artwork does not infringe upon any third-party rights.

4.2 The Company represents and warrants that the use of the Artwork will be solely as outlined in this Agreement.

5.1 The Artist agrees to indemnify and hold harmless the Company against any claims, damages, or expenses arising from any breach of the Artist’s representations and warranties. The Company agrees to indemnify and hold harmless the Artist against any claims, damages, or expenses arising from any unauthorized use of the Artwork beyond the scope of this Agreement.

6.1 This Agreement becomes effective on the Effective Date and remains in effect unless terminated by either party with 30 days’ written notice.

6.2 Upon termination, the Company will remove any of the Artwork from the app and refrain from using any Artwork in the future. If terminated by the Artist, the Artist will refund the Company for the full amount paid for the Artwork.
